1. Agreement to these Terms

These Terms & Conditions (the “Terms”) are a binding agreement between you and Awaken Labs LLC (“Awaken Labs,” “we,” “us,” or “our”), doing business as Osae Research, governing your access to and use of https://www.osaeresearch.com (the “Site”), including accounts, checkout, and purchases.

By accessing the Site, creating an account, checking a research-use attestation, placing an order, or clicking to accept these Terms, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or buy products.

If you use the Site on behalf of an institution, company, or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

We may update these Terms from time to time. The “Last updated” date will change when we do. Material changes will be posted on this page. Continued use of the Site after the effective date constitutes acceptance of the updated Terms, except where applicable law requires a different standard. The version in effect when you place an order governs that order.

2. Who we are

The Site is operated by Awaken Labs LLC, an Arizona limited liability company. Awaken Labs LLC is the parent company of the Osae Research brand.

3. Eligibility and age

You must be at least 21 years old and capable of entering a binding contract under applicable law to use the Site or purchase products. We may require date of birth and other qualification information at checkout. We may refuse or cancel any order if we reasonably believe the buyer is under 21 or has provided false information.

The Site is not intended for anyone under 21. You may not allow a minor to use your account.

4. Buyer representations

Each time you register, attest, or place an order, you represent, warrant, and agree that:

• You are 21 or older.
• You are a qualified researcher, institutional professional, or other person purchasing solely for lawful laboratory research.
• All products you purchase are strictly for Research Use Only — not for human or animal use, consumption, administration, clinical use, diagnostic use, or therapeutic use, and not for compounding or resale as a drug, food, cosmetic, or medical device.
• You will not use, or permit anyone else to use, products in or on humans or animals, and you will not represent to anyone that our products are approved, safe, or suitable for those uses.
• You will handle, store, and dispose of products using appropriate laboratory controls, personal protective equipment, and your own standard operating procedures.
• You are solely responsible for compliance with all applicable local, state, and federal laws, regulations, and institutional rules, including those that apply to purchase, possession, import/export, controlled substances, research chemicals, hazardous materials, and laboratory practice.
• It is lawful for you to purchase and receive the products at the shipping address you provide.
• Information you provide (including identity, age, research field, and addresses) is true, current, and complete.
• You will not misrepresent your identity, affiliation, or purpose.

These representations are a condition of sale. We may cancel orders, refuse future sales, and report suspected unlawful activity where we reasonably believe it is appropriate or required.

5. Accounts

Some features of the Site, including browsing the catalog, may require an account. You agree to provide accurate information, keep your password confidential, and notify us promptly of unauthorized use. You are responsible for activity under your account.

We may refuse registration, reclaim usernames, or close accounts at our discretion, including for suspected fraud, attestation violations, chargeback abuse, or legal risk.

Account offers (for example, a new-customer coupon) are subject to the coupon rules shown at the time of issue and may be revoked if we reasonably believe they were obtained through abuse.

6. Products, descriptions, and COAs

We sell research-grade materials for laboratory use. Listings, images, purity figures, molecular data, and educational copy are provided for scientific identification and catalog purposes. They are not instructions for human or animal use and are not medical, veterinary, or compounding advice.

Certificates of Analysis (“COAs”) and third-party test results, where provided, describe analytical results for an identified batch under the testing lab’s methods. They do not guarantee fitness for any particular experiment, protocol, or outcome. You are responsible for verifying lot numbers, reviewing the COA, and determining suitability for your research.

We may change product specifications, packaging, vial sizes, or availability without notice. If a material change affects an unfulfilled order, we will notify you and, if you do not wish to proceed, refund amounts you paid for the affected items.

Typographical errors, stock errors, and pricing errors may occur. We may cancel or refuse an order that was accepted in error.

7. Orders, pricing, and payment

An order is an offer to buy. We may accept or reject any order, in whole or in part, for any lawful reason, including inventory, suspected fraud, failed age or research verification, restricted destination, or pricing error. A charge authorization is not, by itself, acceptance. We accept an order when we confirm it and proceed to fulfillment (or when we notify you of acceptance).

Prices are in U.S. dollars unless stated otherwise. Applicable taxes and shipping are added as shown at checkout. Coupons and promotions are subject to their stated terms and may not be combined unless we say so.

You authorize us and our payment processors to charge your selected payment method for the order total, including taxes, shipping, and any adjustments you approve. You represent that you are authorized to use that payment method.

If a payment is reversed, charged back, or fails after shipment, you remain responsible for the unpaid amount, and we may recover our costs of collection as allowed by law.

If we later offer subscriptions or “subscribe and save,” those purchases are also subject to these Terms plus any subscription-specific terms shown at checkout (billing interval, skip/cancel, and renewal). Recurring charges continue until you cancel in the manner we provide.

8. Prohibited uses

You may not:

• Use, promote, or resell products for human or animal use, consumption, injection, implantation, or administration, or as a drug, supplement, cosmetic, or medicine.
• Use products in compounding, 503A/503B pharmacy practice, or clinical care.
• Mislabel, relabel, or remarket our materials as anything other than research reagents.
• Purchase for someone you know intends a prohibited use, or ship to a freight forwarder, drop shipper, or address you do not control in order to evade these Terms or the law.
• Violate any applicable law, or purchase products that you are not legally permitted to possess in your jurisdiction.
• Interfere with the Site, attempt unauthorized access, scrape in a way that overloads our systems, or introduce malware.
• Use another person’s account, payment method, or identity without authorization.
• Submit false buyer-qualification information.

We may investigate suspected violations and take action we reasonably consider appropriate, including order cancellation, account closure, and cooperation with authorities.

9. Shipping and risk of loss

We currently offer shipping to destinations in the United States that we make available at checkout. We may refuse to ship to P.O. boxes, freight forwarders, certain territories, or any address we reasonably believe presents legal, fraud, or delivery risk. We do not guarantee service to every ZIP code.

Shipping methods, rates, handling times, and any free-shipping threshold are as displayed on the Site and at checkout at the time you order. Those displayed terms control for that order. “Same-day fulfillment,” “cold shipping,” and similar statements describe our ordinary process for eligible orders placed by the cutoff we specify; they are not a guarantee of a particular delivery date or of a continuous temperature once a carrier has the package.

You are responsible for providing a complete, deliverable address where an adult can receive the package. If a package is returned as undeliverable, refused, or abandoned, we may charge return shipping and a reasonable restocking fee, or treat the order as delivered if the carrier’s records show delivery, as the circumstances warrant.

Title and risk of loss pass to you when we deliver the products to the carrier, except where applicable law requires a different rule. Carrier delays, weather, incorrect addresses, and failed delivery attempts are outside our control once the carrier has the shipment.

You are responsible for inspecting the shipment promptly and for storing products according to laboratory practice and any handling notes we provide. We are not responsible for degradation caused by delay in retrieving a package, improper storage after delivery, or reconstitution or handling in your lab.

10. Cancellations, returns, and refunds

Because our products are research materials that may require cold-chain handling and that cannot be restocked once opened or temperature-abused, all sales are final except for confirmed wrong-item, damage, or shortage claims reported within forty-eight (48) hours of marked carrier delivery, as stated below, or as required by non-waivable law.

Before shipment. You may request cancellation by emailing support@osaeresearch.com. If we have not yet shipped, we will generally cancel and refund the purchase. Once a label is created or the order is in fulfillment, cancellation may no longer be possible.

Damaged, missing, or wrong item. Contact us at support@osaeresearch.com within forty-eight (48) hours of the carrier’s marked delivery (the date and time the carrier records the package as delivered). Include your order number, photos of the packaging and product, and a short description. Claims reported after that 48-hour window are not eligible. If we confirm we shipped the wrong item, a quantity shortage we caused, or damage reasonably attributable to transit or our packing, we will, at our option, replace the affected item or refund the amount you paid for it (including related shipping if the whole order is affected).

No returns of products that have been opened, reconstituted, unlabeled, stored improperly, or returned without a prior written return authorization (RMA) from us. We do not accept returns for change of mind, failed experiments, or buyer’s discovery that a product is not suitable for a particular protocol.

Approved refunds are issued to the original payment method unless we agree otherwise. Processing times depend on the payment processor and your bank.

Please contact us before filing a chargeback or payment dispute. Unexplained chargebacks may result in account closure and collection of the order amount plus our documented costs, to the extent allowed by law.

Our Return Policy is the more specific published policy for returns, cancellations, and related refunds. It applies to those topics. These Terms continue to apply to everything else.

11. Legal compliance

You agree to comply with all applicable local, state, and federal laws and regulations. That includes, without limitation, the Federal Food, Drug, and Cosmetic Act, DEA and controlled-substance rules to the extent they apply, state analogue or research-chemical statutes, hazardous-materials and shipping rules, and your institution’s policies.

We do not represent that any product is legal to possess in every U.S. jurisdiction. You must determine legality before you order. We may cancel an order or refuse service if we reasonably believe fulfillment would violate law or these Terms.

You may not export, re-export, or transfer products except in full compliance with U.S. export-control and sanctions laws. The Site is intended for U.S. customers; we do not undertake to support export sales.

12. Intellectual property

The Site, including text, graphics, logos, product names, layout, and software, is owned by Awaken Labs LLC or its licensors and is protected by U.S. and international intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site for lawful purchasing and account use. You may not copy, scrape, frame, reverse engineer (except where the law allows), or exploit the Site or our content for a competing catalog without our prior written consent.

“Osae Research,” related marks, and product trade dress are identifiers of our brand. Third-party names (including compound names, CAS numbers, and research codes) are used for identification and do not imply endorsement or that our research materials are the same as any approved drug.

13. User content

If you submit reviews, questions, or other content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with the Site and our business. You represent that you have the right to submit it and that it is not unlawful, infringing, or misleading. We may remove content at our discretion.

Do not submit content that implies human or animal use, medical claims, or that our products treat, cure, or prevent disease.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy. Checkout and account features also require age and research-use information as described there and in these Terms.

15. Disclaimers

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING: WE DO NOT WARRANT THAT PRODUCTS ARE SAFE OR SUITABLE FOR ANY USE IN HUMANS OR ANIMALS (THEY ARE NOT OFFERED FOR THOSE USES); THAT ANY EXPERIMENT WILL SUCCEED; THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; OR THAT COAs, PURITY FIGURES, OR DESCRIPTIONS ARE ERROR-FREE BEYOND THE TESTING DOCUMENTATION PROVIDED FOR A GIVEN BATCH.

Some jurisdictions do not allow disclaimer of certain warranties. In those jurisdictions, we disclaim warranties to the fullest extent the law allows, and any non-disclaimable warranty is limited in duration to the shorter of ninety (90) days or the minimum period required by law.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWAKEN LABS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST RESEARCH TIME, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS, ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, OR A PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR FIFTY U.S. DOLLARS (US $50) IF YOU HAVE NOT PAID US IN THAT PERIOD.

THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR OTHERWISE) AND ARE A FUNDAMENTAL PART OF THE BARGAIN. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR OUR OWN FRAUD OR WILLFUL MISCONDUCT WHERE SUCH A LIMITATION IS PROHIBITED.

You acknowledge that research materials carry inherent handling risks and that you assume those risks in your laboratory. We are not liable for injury, property damage, regulatory action, or other harm resulting from use, misuse, or handling of products after they leave our possession, except to the extent a non-waivable statute requires otherwise.

17. Indemnification

You will defend, indemnify, and hold harmless Awaken Labs LLC and its members, managers, employees, agents, and suppliers from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Site or products; (b) use of products in humans or animals, or any other use other than lawful laboratory research; (c) your violation of these Terms or of any law; (d) your buyer representations being untrue; (e) injury, death, property damage, or regulatory action connected with products after delivery to the carrier or to you; or (f) your content. We may assume exclusive defense of any matter subject to indemnification; you will cooperate.

18. Electronic communications

You consent to receive electronic communications from us related to your account and orders (and marketing emails if you opt in or as otherwise permitted by law). Electronic records satisfy any legal requirement that communications be in writing. You may withdraw marketing consent as described in the Privacy Policy; transactional notices related to an account or order may still be sent.

19. Suspension and termination

You may stop using the Site at any time. We may suspend or terminate access, cancel unfulfilled orders, or close accounts if you violate these Terms, if we reasonably suspect fraud or unlawful use, or if we discontinue the Site. Sections that by their nature should survive (including buyer representations, prohibited uses, payment obligations, disclaimers, limitation of liability, indemnification, and dispute terms) will survive.

20. Disputes, governing law, and venue

These Terms are governed by the laws of the State of Arizona and applicable United States federal law, without regard to conflict-of-law rules, except that you retain any non-waivable rights under the consumer-protection or privacy laws of your state of residence.

Before filing a claim, you agree to email support@osaeresearch.com with a description of the dispute and to allow thirty (30) days for us to try to resolve it informally.

Except where applicable law requires otherwise, exclusive venue for disputes arising out of or related to these Terms, the Site, or products is the state courts located in Yavapai County, Arizona, or the United States District Court for the District of Arizona, and you consent to personal jurisdiction there. You and we each waive any right to a jury trial to the extent a court will enforce that waiver.

Class action waiver. You and we agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding, to the maximum extent permitted by law. If this waiver is found unenforceable as to a particular claim, that claim may proceed on a class or representative basis only as required, and the rest of this section remains in effect.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information, or from bringing an individual claim in small-claims court if the claim qualifies.

21. General terms

• Entire agreement. These Terms, the Privacy Policy, any order confirmation, and any additional policies we post (for example, a Shipping page) are the entire agreement between you and us regarding the Site and purchases, and they supersede prior understandings on that subject.
• Severability. If a provision is held invalid or unenforceable, the remaining provisions stay in effect, and the invalid provision will be modified to the minimum extent needed to make it valid.
• No waiver. Failure to enforce a provision is not a waiver of that provision or of the right to enforce it later.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, or sale of assets. These Terms bind permitted successors.
• Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including carrier failure, supply interruption, labor dispute, utility failure, cyber incident, natural disaster, epidemic, or government action.
• Notices. We may notify you via the Site, email, or the address on your account. You may notify us at the address and email in Section 22.
• Interpretation. Headings are for convenience only. “Including” means “including without limitation.”
• Relationship. These Terms do not create a partnership, joint venture, employment, pharmacy, or professional-services relationship. We are a seller of research materials.
• Third-party beneficiaries. Except for indemnified parties in Section 17, these Terms do not confer rights on third parties.
